Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MoltArch API and related services ("Service") provided by Choy Innovation Oy ("MoltArch," "we," "us," "our"), a company incorporated under the laws of Finland (Business ID: FI31414636).

By creating an account, obtaining an API key, or using the Service, you ("Customer," "you") agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. Definitions

"API" means the MoltArch application programming interface, including REST endpoints and MCP tools, accessible at api.moltarch.com.

"API Key" means the unique authentication credential issued to you to access the Service.

"Query" means a complete session from start to answer delivery through the API.

"Billable Query" means a Query where the data confidence score meets or exceeds the billing threshold, indicating the response is grounded in real campaign data.

"Output" means any content, recommendations, strategies, or deliverables generated by the Service in response to your Queries.

"Input Data" means any information, prompts, or context you provide to the Service.

2. Service Description

MoltArch is a marketing intelligence API for AI agents. The Service processes marketing-related queries using artificial intelligence models and returns structured recommendations and deliverables grounded in anonymized campaign performance data.

The Service operates in two modes: "recommend" (advisory) and "execute" (deliverable creation). Both modes use AI to generate responses informed by a database of anonymized marketing campaign data contributed by marketing agency partners.

The Service is NOT: legal advice, financial advice, a guarantee of business outcomes, or a replacement for professional marketing judgment. All Outputs require human review before implementation.

You must obtain an API Key to access the Service. You are responsible for:

We may revoke or suspend your API Key at any time for violation of these Terms, suspected abuse, or non-payment.

4. Pricing and Payment

The Service uses per-query pricing. Only Billable Queries are charged. Queries where the Service lacks sufficient data to ground the response ("free queries") are provided at no cost.

Current pricing tiers are based on monthly Billable Query volume and are published at moltarch.com. Pricing is subject to change.

Invoicing is monthly, in arrears. Payment is due within 14 days of invoice. All prices are in EUR and exclusive of applicable taxes (VAT). Late payments accrue interest at the rate permitted under Finnish law.

6.1 Your Input Data

You retain all rights to your Input Data. We do not use your Input Data to train models, improve the Service, or share with third parties. Input Data is processed only to generate your requested Output and is not stored beyond the session duration (2 hours).

Subject to these Terms, you may use Outputs for your internal business purposes. However:

MoltArch retains all rights to the Service, including the platform, algorithms, marketing frameworks, anonymized data vault, and all underlying technology. Nothing in these Terms grants you rights to our intellectual property beyond the limited right to use the Service as described.

7. Data Protection and Privacy

7.1 Roles

For the purposes of GDPR, you are the data controller (or processor acting on behalf of your controller) for any personal data included in your Input Data. MoltArch acts as a data processor processing such data on your instructions.

7.2 Data Processing Agreement

Our processing of personal data is governed by the Data Processing Agreement ("DPA") available at moltarch.com/dpa, which is incorporated into these Terms by reference.

7.3 Data Processing

The Service processes data as follows:

All data processing is designed to minimize cross-border transfers. Where data is processed outside the EU/EEA, appropriate safeguards (Standard Contractual Clauses, EU-US Data Privacy Framework, or equivalent) are in place. A current list of sub-processors is available upon request.

7.4 Data Retention

Session data (queries and outputs) is retained in Redis for a maximum of 2 hours and then automatically deleted. Query metadata (session ID, data confidence score, billing information) is retained for billing and analytics purposes. No Input Data is stored beyond the session.

7.5 Anonymization

The Service's campaign data vault contains only anonymized data. Company names, brand names, URLs, and other identifying information are stripped through a multi-layer anonymization process before data enters the vault and again before it appears in any Output.

The Service uses general-purpose AI models to generate marketing intelligence. In accordance with the EU AI Act:

9. Service Availability

The Service is provided on a pay-per-use basis with no guaranteed uptime or service level commitments. We aim to maintain reasonable availability but the Service may be unavailable at any time due to maintenance, updates, third-party provider issues, or other reasons. You are only charged for successfully completed Billable Queries.

10. Warranties and Disclaimers

We warrant that the Service will perform materially as described in our documentation and will comply with applicable laws.

EXCEPT AS EXPRESSLY STATED ABOVE, THE SERVICE IS PROVIDED "AS IS." WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Specifically, we do not warrant that:

AI outputs may contain inaccuracies, hallucinations, or errors. You are solely responsible for evaluating and implementing any Output.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

You will indemnify us against claims arising from: your Input Data, your violation of these Terms or the Acceptable Use Policy, your failure to have a lawful basis for processing personal data submitted to the Service, or your use of Outputs in violation of applicable law.

We will indemnify you against claims that the Service platform itself (excluding AI-generated Outputs) infringes a third party's intellectual property rights, provided you notify us promptly and cooperate in the defense.

13. Confidentiality

Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties except as necessary to perform under these Terms. Your marketing strategies and Input Data are treated as your confidential information. Our pricing, technology, and anonymized data vault are our confidential information.

Confidentiality obligations survive for 3 years after termination.

14. Term and Termination

These Terms are effective from the date you first access the Service and continue until terminated.

Upon termination, your API Key is revoked. Aggregate usage data (query counts, billing totals) is retained for billing purposes. No Input Data, query content, or Output content is stored beyond session duration.

15. Third-Party Dependencies

The Service relies on third-party AI providers (currently Anthropic and Voyage AI). If a third-party provider discontinues service, changes terms materially, or becomes unavailable, we may modify or discontinue affected features of the Service. We will provide reasonable notice of material changes where possible.

16. Modifications

We may modify these Terms at any time. The current version is always available at moltarch.com/terms. Continued use of the Service after any modification constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you may stop using the Service and terminate your account.

17. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, government action, pandemic, third-party service outages (including AI provider outages), internet disruptions, or changes in applicable law or regulation.

18. Governing Law and Disputes

These Terms are governed by the laws of Finland, without regard to conflict of law principles. Any disputes shall be resolved by the courts of Helsinki, Finland. For disputes exceeding €50,000, either party may elect arbitration under the rules of the Finland Chamber of Commerce Arbitration Institute.

19. General

Entire agreement: These Terms, together with the DPA and Privacy Policy, constitute the entire agreement between you and MoltArch regarding the Service.

Severability: If any provision is found unenforceable, the remaining provisions continue in effect.

Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Waiver: Failure to enforce any provision does not constitute a waiver.

Notices: Notices under these Terms should be sent to support@moltarch.com or to the email address associated with your account.

Language: These Terms are provided in English. In the event of any conflict with a translation, the English version governs.
